Voting members:  3-5 members of the Board of Trustees

Non-voting members: CEO, CFO, & CCO

The Audit and Compliance Committee of the Board of Trustees has the principal oversight responsibility for the accuracy and integrity of financial reporting systems and internal control and the internal and external audit processes.  Additionally, the Committee will ensure that SRHS conducts its business consistent with the highest standards and in accordance with all applicable laws and regulations, including oversight of the SRHS compliance program.  The Committee consists of at least three and not more than five voting Board members, who are appointed by the Board President and approved by the Board.  The voting members of the Committee are comprised of members of the Board of Trustees of SRHS who are independent of management.  Non-voting Committee members include the Chief Executive Officer, Chief Financial Officer and Chief Compliance Officer.  The committee serves to (1) provide an open avenue of communication between the external auditor, Chief Executive Officer, Chief Financial Officer and Chief Compliance Officer and (2) assist the SRHS Board in fulfilling its fiduciary responsibilities relating to SRHS’ legal and financial compliance with applicable laws, regulatory requirements, industry guidelines and policies.
